1. Definitions and interpretation

1.1 Definitions

The NZ Aurorae Group Ltd “NZAG” “Intellectual Property” includes all ideas, concepts, copyright materials, plans inventions, systems, trade marks, trade, business and company names, domain names, design, trade secrets, know how, confidential codes and other proprietary rights, trade dress, get-up, logos, symbols, insignia, emblems and all other forms of intellectual property rights (and together with all rights to registration of such rights) whether created before or after the date of this Agreement whether registered or unregistered, and whether existing in New Zealand or elsewhere.

All Intellectual Property developed by the NZAG in marketing the Products belongs solely to the NZAG. The purchaser acknowledges that it has no rights over any Intellectual Property developed by the NZAG.

NZAG! Retains all of its ownership interest in such Screen Shots, including but not limited to all rights recognized by trademark and copyright laws.

1.2 "Customer" means a purchaser, licensee, lessee or any other person acquiring an interest in any Products from the Supplier pursuant to a negotiated Agreement between that person and the Supplier.

"Potential Customer" means any person approached by NZAG and in the process of negotiating the sale of the Products with the Supplier.

2. Dispute Resolution

2.1 If there is dispute between the parties arising out of, or in connection with, this Agreement, neither of the parties is to commence any proceedings relating to that dispute until the following procedure has been complied with:

2.2 Any party seeking urgent interlocutory relief may, by notice to the other party, elect not to comply with the provisions of this clause, but only to the extent of the relief sought, and only for the period required to dispose of the application for interlocutory relief.

2.3 Pending resolution of the dispute, this Agreement will remain in full effect without prejudicing the parties' respective rights and remedies.

3. Laws of New Zealand

3.1 This Agreement is made in accordance with the law of New Zealand and will be interpreted in accordance with the law of New Zealand. The parties submit to the non-exclusive jurisdiction of the New Zealand courts.

4. Confidentiality

4.1 The customer agrees that all information obtained by the customer about the Business is confidential and will not be disclosed except in accordance with the provisions of this Agreement.
